A Quarterly meeting of Oklahoma Housing Finance Agency’s (“OHFA”) Board of Trustees has been scheduled to be held at 10:30 a.m. on July 20, 2005 at 100 Northwest 63rd, Will Rogers Room, 2nd floor, Oklahoma City, Oklahoma.  The amended agenda for this meeting will be as follows:  

  1. Consider approval of a Resolution commending Leslie Pierce for his services as Trustee of the Board of Trustees of Oklahoma Housing Finance Agency.  APPROVED
  1. Consider a Resolution approving Minutes of the May 25, 2005 meeting of the Board of Trustees APPROVED

Consent Docket.  The following items of business may be voted upon by a single vote of the Board of Trustees without discussion, unless a member of this Board of Trustees desires further discussion regarding a specific item or items. In such event, this item or items will be withdrawn and considered following the Consent Docket.  APPROVED

6.1      A Resolution approving form of Requests for Proposal (“RFP”) for legal services provider and for financial advisor for the OHFA 2006 Single Family Mortgage Revenue Bond Program, as a “Related Plan of Financing.” 

 

6.2      Consider a Resolution approving and authorizing the renewal for an additional one year term, OHFA’s contract with Standard Insurance of Oregon for employee short and long term disability and accidental death and dismemberment coverage. 

 

6.3      A Resolution approving and authorizing the renewal for a one-year term of OHFA’s contract(s) with Prudential Investments for employee retirement services. 

 

6.4      Consider a Resolution Ratifying the Placement of Property and General Liability Insurance Coverages and authorizing and approving the payment therefor.

 

  1. Consider a Resolution approving the selection of a certified public accounting firm to provide audit and accounting services and to act as OHFA’s independent auditors; authorizing the execution of an engagement letter and contract with said accounting firm.  APPROVED

Consider a Resolution authorizing OHFA’s Single Family Mortgage Revenue Bonds (Homeownership Loan Program) 2005 Series D (The “2005D Bonds”) consisting of one or more series or two or more subseries; waiving competitive bidding for the sale thereof; authorizing the various documents relating to such bonds; approving the distribution of the Preliminary Official Statement; setting parameters for the price and interest rates for such bonds; providing for the funding of loans on newly constructed residences and down payment assistance and other purposes; authorizing use of OHFA funds; designating a trustee, registrar and paying agent; designating a book-running co-senior manager; establishing purchase price limits for homes financed under the program; and authorizing OHFA officers, staff and advisors to take certain actions with respect thereto.

Consider a Resolution authorizing OHFA’s Single Family Mortgage Revenue refunding bonds, Draw Down Series 2005; authorizing the various documents relating to such bonds; approving a bond purchase agreement; authorizing the sale of bonds at negotiated sale and waiving competitive bidding for the bonds; setting the price and the formula for the interest rate for such bonds; and authorizing OHFA officers, staff and advisors to take certain actions with respect thereto.  APPROVED

Consider a Resolution authorizing OHFA’s Multi-Family Mortgage Revenue Bonds to pay the cost of a program to refinance Section 202 Senior Housing Projects (The “Bonds”) consisting of one or more series or two or more subseries; waiving competitive bidding for the sale thereof; authorizing the various documents relating to such bonds; approving the distribution of the Preliminary Offering Document Statement; setting parameters for the price and interest rates for such bonds; providing for the funding of loans; designating a trustee, registrar and paying agent; designating an underwriter; approving loan documents; and authorizing OHFA officers, staff and advisors to take certain actions with respect thereto.  APPROVED

Consider, individually, the applications for funding from the State of Oklahoma’s 2005 HOME Investment Partnership Program for Homeowner Rehabilitation filed by each of the Applicants identified in Exhibit “A”, attached hereto and made a part hereof by reference, and in connection therewith: (a) make such preliminary and/or intermediate rulings as may be necessary and/or appropriate in regard to the conduct of the proceedings; (b) receive and hear the reports and recommendations of the Staff of OHFA, the evidence and arguments of the Applicants and their representatives and, pursuant to the Oklahoma Open Meeting Act, the comments of members of the public present; and (c) at the conclusion of all testimony and evidence, consider individual Resolutions approving, subject to any contingencies, conditions or requirements established by the Trustees, or disapproving the application of each of said Applicants for funding from the State of Oklahoma’s 2005 HOME Investment Partnership Program for Homeowner Rehabilitation.  APPROVED

Consider, individually, the applications for funding from the State of Oklahoma’s 2005 HOME Investment Partnership Program (other than Homeowner Rehabilitation) filed by each of the Applicants identified in Exhibit “B”, attached hereto and made a part hereof by reference, and in connection therewith:  (a) make such preliminary and/or intermediate rulings as may be necessary and/or appropriate in regard to the conduct of the proceedings; (b) receive and hear the reports and recommendations of the Staff of OHFA, the evidence and arguments of the Applicants and their representatives and, pursuant to the Oklahoma Open Meeting Act, the comments of members of the public present; and (c) at the conclusion of all testimony and evidence, consider individual Resolutions approving, subject to any contingencies, conditions or requirements established by the Trustees, or disapproving the application of each of said Applicants for funding from the State of Oklahoma’s HOME Investment Partnership Program. 
  1. Consider the application for an award of tax credits filed by the Owner/Applicant, Sail Associates, LLC, for the multi-family apartment project known as Havenwood Apartments, located at 10735 N. Western Avenue, Oklahoma City, County of Oklahoma, Oklahoma, to be financed in part by tax-exempt bond financing, and in connection therewith:  (a) make such preliminary and/or intermediate rulings as may be necessary and/or appropriate in regard to the application or conduct of said proceeding; (b) receive and hear the reports and recommendations of the Staff of OHFA, the evidence and arguments of the Applicant and its representatives and the comments of members of the public present; and (c) at the conclusion of all testimony and evidence, consider a Resolution approving, subject to any contingencies, conditions or requirements established by the trustees, or disapproving the Application of said Owner/Applicant.

       a) authorizing an Executive Session of the Trustees of Oklahoma Housing Finance   Agency (“OHFA”), pursuant to Section 307.B.1 of the Oklahoma Open Meeting Act (25 O.S., Sections 301, et seq.), for the purpose of engaging in discussions pertaining to the employment benefits of the Executive Director of OHFA;  

 b) after the conclusion of the Executive Session, authorizing the reconvening of the Open Meeting of the Board of Trustees of OHFA; and             

c) consider a resolution pertaining to the employment benefits of the Executive Director of OHFA, as the Board of Trustees of OHFA may deem appropriate.
