The amended Agenda for the Special meeting of Oklahoma Housing Finance Agency's ("OHFA") Board of Trustees has been scheduled at 10:00 a.m. on September 25, 1998, at 1140 Northwest 63rd, Room 403, Oklahoma City, Oklahoma. The agenda for this meeting will be as follows:

1. Consider a Resolution approving Minutes of the July 17, 1998 meeting of the Board of Trustees. APPROVED

2. Report on 1998B Bond Program

3. Consider a Resolution authorizing OHFA's Single Family Mortgage Revenue Bonds, Anticipation Series 1998B; authorizing the various documents relating to such bonds; authorizing the sale of bonds at public sale; and authorizing OHFA officers, staff and advisors to take certain actions with respect thereto. APPROVED

4. Consider a Resolution pertaining to OHFA's Single Family Mortgage Revenue Bonds (Homeownership Loan Program) 1998 Series C; approving the transfer of OHFA funds for payment of certain costs of issuance related thereto; and authorizing OHFA officers, staff and advisors to take certain actions with respect thereto. APPROVED

5. Consider a Resolution authorizing OHFA's Single Family Mortgage Revenue Bonds (Homeownership Loan Program) 1998 Series D consisting of subseries; waiving competitive bidding; authorizing the various documents relating to such bonds; approving the distribution of the Preliminary Official Statement; setting parameters for the price and interest rates for such bonds; setting aside funds for new construction loans, down payment assistance and other purposes; authorizing the use of OHFA funds; designating a Trustee, Registrar and Paying Agent; designating a Book-Running Co-Senior Manager; and authorizing OHFA officers, staff and advisors to take certain actions with respect thereto. APPROVED

6. Consider a Resolution approving the selection of a Financial Advisor and alternate for the OHFA 1999 Single Family Mortgage Revenue Bond Program and to provide general financial advisory services. APPROVED

7. Consider a Resolution approving the selection of Legal Services provider for the OHFA 1999 Single Family Mortgage Revenue Bond Program, as a "Related Plan of Financing." APPROVED

8. Consider a Resolution approving form of Request for Proposal ("RFP") for Underwriter, Trustee Bank, Cash Flow Verifier, Master Servicer, and Financial Printer for the OHFA 1999 Single Family Mortgage Revenue Bond Program, as a "Related Plan of Financing." APPROVED

9. Consider approval of a Resolution renewing and continuing the contract for legal services of Jack R. Lawrence, of the firm of Lawrence & Ellis, a professional association, Oklahoma City, Oklahoma, continuing Jack R. Lawrence as general counsel to the Trustees of Oklahoma Housing Finance Agency, and fixing his duties and compensation. APPROVED

10. Consider a Resolution authorizing and approving the development of the 1999 Single Family Mortgage Revenue Bond and Mortgage Program in the aggregate approximate amount of $300,000,000 as a part of Oklahoma Housing Finance Agency's 1999 Single Family Program, for later final approval by the Oklahoma Housing Finance Agency Board of Trustees; directing staff to develop proposed program terms; authorizing Staff and OHFA Officers to seek 1999 allocations of "New Money" from the state's volume cap to be included in said program; authorizing submission of applications to the State Bond Advisor and the Executive and Legislative Bond Oversight Commissions; authorizing Public Hearings; and authorizing staff and OHFA officers to take such other preliminary actions as may be necessary or desirable for the development of the 1999 Single Family Mortgage Revenue Bond and the related mortgage loan program. APPROVED

11. Consider a Resolution authorizing OHFA's Single Family Mortgage Revenue Refunding Bonds, Draw Down Series 1999; authorizing the various documents relating to such bonds; approving a bond purchase agreement; authorizing the sale of bonds at negotiated sale and waiving competitive bidding for the bonds; setting the price and the formula for the interest rate for such bonds; and authorizing OHFA officers, staff and advisors to take certain actions with respect thereto. APPROVED

12. Consider and conduct individual proceedings [pursuant to, and in accordance with, Article II of the Oklahoma Administrative Procedures Act, 75 O.S., Sections 250, et seq. (The "OAPA") and the Internal Revenue Code of 1986, as amended, and the rules and regulations promulgated thereunder (the "Code") and OHFA's Chapter 36 Low Income Housing Tax Credit Program Rules], to consider the application for a Reservation of a portion of the State of Oklahoma's 1998 Tax Credit Authority filed by each of the Owner/Applicants identified in Exhibit "A," attached hereto and made a part hereof by reference, and in connection therewith:

(a) to make such preliminary and/or intermediate rulings as may be necessary and/or appropriate in regard to the conduct of said proceedings, including referrals to an Administrative Hearing Officer and/or reassignment of Reservation Cycle Two funds among the various set-asides;

(b) to receive and hear the reports and recommendations of the Staff of OHFA, the evidence and arguments of the Applicants and their representatives and, pursuant to the Oklahoma Open Meeting Act, 25 O.S., Sections 301, et seq., the comments of members of the public present; and

(c) at the conclusion of all testimony and evidence, consider Resolutions approving, subject to any conditions or requirements of the Trustees, or disapproving the Applications of each of said Owners Applicants for a Reservation of a portion of the State of Oklahoma's 1998 Tax Credit Authority.

13. Consider approval of a Resolution ratifying the staff's submission of OHFA's response to the Department of Housing and Urban Development Request for Qualification to qualify as a "Participating Administrative Entity" under the fiscal year 1999 Multifamily Housing Mortgage and Housing Assistance Restructuring Program (known as the Mark-to-Market Program) authorized by the Multifamily Assisted Housing Reform Act and authorizing the staff of OHFA to take such reasonable and necessary steps as required to participate in said program if OHFA is approved as a Participating Administrative Entity. APPROVED

14. Consider approval of a Resolution ratifying the submission of an application to the Federal Home Loan Bank of Topeka (Bank) for OHFA's qualification and approval for nonmember borrower status; authorizing and approving the execution of all necessary documentation pertaining thereto, including, but not limited to, a Credit Resolution, Credit Authorization, Resolution for Deposits, Nonmember Advance, Pledge and Security Agreement, Deposit Resolution, Deposit Agreement, and Wire Transfer Authorization Form; designating and approving signatories for said documents; setting limitations and guidelines for participation as a nonmember borrower of the Bank; authorizing and directing staff to seek all necessary approvals under state law for such participation as a nonmember borrower of the Bank. APPROVED

15. Consider a approval of a Resolution authorizing and approving the submission to the Federal Home Loan Bank of Topeka (Bank) of an application to participate in the Bank's Affordable Housing Program ("AHP"), subject to approval of OHFA as a nonmember borrower by the Bank and authorizing the Executive Director to execute such documents as may be necessary to carry out the intent of this resolution. APPROVED

16. Consider a Resolution adopting, pursuant to the emergency rulemaking provisions of the Oklahoma administrative Procedures Act OHFA's Chapter 55 Home Investments Partnership Program Rules (the "HOME Program Rules") and the Rule Impact Statement, respecting same and directing Staff to take such reasonable and necessary actions to cause such HOME Program Rules to be adopted as emergency rules of OHFA and further authorizing and directing to take such reasonable and necessary actions, including publishing notice, soliciting public comment, public hearing(s) and presentation of recommendations to the Board of Trustees of OHFA at a future meeting for their consideration, to proceed with the adoption of said HOME Program Rules as permanent rules of OHFA. APPROVED

17. Consider approval of a Resolution ratifying the selection of contractors (and projects) for funding under the HOME Investment Partnerships Program for fiscal year 1998 and the execution of HOME Program contracts with each of said contractors. APPROVED

18. Report on Information Systems Technology Plan

19. Consider a Resolution approving the purchase of computer hardware and software in accordance with the Department of Central Services, Central Purchasing Guidelines and the State's "OO" Contract. APPROVED

20. Consider approval of a Resolution authorizing and directing the staff of OHFA to finalize and submit to the Department of Central Services, Central Purchasing Invitation to Bid (ITB's) for Service Providers wishing to implement the Housing Opportunities for People with AIDS ("HOPWA") Program. APPROVED

21. Consider approval of a Resolution approving the adjusted Section 8 Tenant Utility Allowance schedule and authorizing and directing the staff of Oklahoma Housing Finance Agency to submit the adjusted Section 8 Tenant Utility Allowance to the U.S. Department of Housing and Urban Development ("HUD") in accordance with the federal regulations. APPROVED

22. Consider a Resolution approving the Consolidated Annual Contributions ("CACC") to OHFA by the U.S. Department of Housing and Urban Development ("HUD"), and ratifying the execution of said CACC contracts, along with any and all additional documents relating to amendments of said contracts, by the Executive Director of OHFA. APPROVED

23. Consider a Resolution approving the selection of a Designated Insurance Broker who will help obtain commercial general, property, data processing equipment and crime and commercial excess liability (umbrella) insurance coverages. APPROVED

24. Consider a Resolution authorizing the staff of Oklahoma Housing Finance Agency to develop internal purchasing procedures for acquisitions by OHFA; to submit said procedures to the State Purchasing Director in accordance with guidelines to be developed by the Director of Central Purchasing, Department of Central Services and to utilize the internal purchasing procedures, as may be approved by the State Purchasing Director, in making acquisitions on behalf of OHFA, pending future review of said internal purchasing procedures by the Board of Trustees of OHFA. APPROVED

25. Consider a Resolution approving BNY Trust Company of Missouri as Successor Trustee to NationsBank on the Northpark and Meadowlane Projects. APPROVED

26. Consider approval of a Resolution authorizing and approving the Oklahoma Housing Finance Agency's Fiscal Year 1998/1999 Administrative Budget. APPROVED
